Manny has extensive corporate and transactional experience. He advises on and structures complex mergers and acquisitions, joint ventures, business formation and reorganization, and strategic succession planning in Delaware. Having represented clients in thousands of high value transactions, Manny anticipates, understands, and addresses the myriad considerations in a corporate deal, including choice of entity, control issues, taxation, employment and noncompete matters, confidentiality and restrictive covenants, real estate, and intellectual property matters.
For many long-term clients, Manny is the first call when a legal issue arises. In his decades in practice, he has guided clients through all seasons and built trusted relationships, functioning as de facto general counsel for many. He serves as a Director of the Caesar Rodney Institute, a Delaware public policy, research and educational organization, and as Director and Treasurer of Attorneys for Family-Held Enterprises, a tax, business, succession planning, and family counseling organization.
