NEIL R. LAPINSKI is a respected corporate, commercial, and fiduciary litigation attorney representing local, national, and international clients in high value and complex disputes.

Neil’s practice focuses on corporate and alternative entity law as well as commercial and fiduciary litigation. Appearing frequently in the Court of Chancery and acting as lead counsel in both jury and bench trials throughout Delaware, including the United States District Court and Superior Court in New Castle, Kent, and Sussex counties, he has won and resolved many cases representing corporate and individual clients in a wide range of complex issues relating to Delaware law.

In his decades of practice, Neil has successfully handled corporate litigation relating to corporate mismanagement, self-dealing, and other fiduciary duty actions; expedited matters seeking injunctive relief; books and records inspection disputes; and challenges to board action and constituency under DGCL Section 225. He also advises on tax disputes and adversary actions related to Chapter 11 bankruptcy proceedings.

Neil litigates and arbitrates commercial and contract disputes such as high value breaches of contract and related tort claims, construction disputes, non-compete and non-solicitation issues, and disputes involving buy/sell and asset purchase agreements. His cases often involve significant transactions, complex contractual arrangements, sensitive matters, and novel legal issues.

Neil’s litigation practice extends to defending trustees in fiduciary litigation in the Court of Chancery. He provides robust and valuable counsel to clients who find themselves in fiduciary disputes or endeavor to avoid them.
