Corporate & Entity Litigation

Delaware is home to business entities with operations and stakeholders from all over the world. When disputes arise, the Court of Chancery becomes the primary forum for resolving those disputes. Our corporate litigation lawyers are seasoned practitioners. We advise on control disputes, corporate governance issues, books and records demands, and breach of fiduciary duty allegations, with experience advocating for both the entity and the principal. Our team routinely handles expedited matters, often involving temporary restraining orders, in the Court of Chancery.

Private Wealth Litigation

Our private wealth team advises and advocates for banks, trust companies, and individual trustees faced with fiduciary duty questions and disputes. Fiduciaries are subject to onerous legal duties and often manage substantial assets belonging to others. This precarious combination can expose fiduciaries to claims of mismanagement, imprudent investing, self-dealing, conflict of interest, failure to disclose, and other breaches of fiduciary duties. In addition, disputes can arise between trustees and beneficiaries regarding the construction of a trust. It is common for institutional and individual trustees to preempt such disputes and mitigate their risk by petitioning the court to interpret uncertain trust arrangements. Likewise, wills challenges require discretion and tact, and our team has decades of combined experience representing estates and beneficiaries in what can be sensitive litigation.

Our seasoned litigators are adept at navigating the intricacies of real estate litigation and advocating for clients in a variety of contexts, including, without limitation, purchase/sale transactions, commercial leasing (landlord-tenant), condemnation/eminent domain, construction litigation, zoning and land use disputes, HOA/Condominium disputes, trespass, title issues, partition and quiet title actions, and boundary disputes, as well as Delaware property tax assessment appeals.
