PHILLIP A. GIORDANO is a skilled commercial and corporate litigation attorney with a reputation for responsiveness and results in complex and fast-paced disputes.

In the field of corporate litigation, Phil advises on the full spectrum of corporate disputes, including corporate governance matters, control disputes, breach of fiduciary duties, advancement and indemnification issues, and books and records demands. He has experience representing stakeholders on either side of a corporate dispute, including corporations, LLCs, LPs, directors, officers, shareholders, members, partners, and other interested parties. Since his early days as copy editor for the Delaware Journal of Corporate Law while at law school, Phil’s passion for, and knowledge of, corporate law has only grown. His broad experience and mental acuity are crucial to his clients’ success when facing the complex legal issues and tight deadlines inherent to corporate litigation.

Phil’s commercial litigation practice is equally comprehensive. He counsels clients involved in complex and high value breach of contract claims such as disputes relating to buy/sell agreements, asset purchase agreements, non-compete and non-solicitation issues, and trade secrets protections. He also handles commercial real estate litigation. Phil’s clientele encompasses local, national, and international businesses and individuals from a wide range of industries. He works diligently to understand the client’s business and industry, and puts forward the best case for his clients. He understands that litigation is time-consuming and costly and he strives to minimize the disruption to a client’s life and business, while achieving a solution that meets their needs.

Phil also has significant experience representing individual and corporate trustees in fiduciary litigation in the Delaware Court of Chancery. He frequently defends trustees facing allegations of breach of fiduciary duties that range from imprudent investments to failure to disclose information to beneficiaries. In matters of trust construction, Phil advocates for his clients before the Delaware Court of Chancery to seek definitive and favorable interpretation of trust agreements.

Dedicated to the success of his clients and his Delaware community, Phil organizes and speaks at events for local business leaders and national financial institutions on matters related to corporate, commercial, and fiduciary litigation. As a former rugby player and college rugby coach, he is no stranger to hard work and competition. Phil now applies that grit and determination, combined with top-notch legal skills, to get winning results for his clients.
